Anthropic files S-1 for proposed Nasdaq IPO under ticker ANT

Anthropic said it filed a Form S-1 for a proposed Class A IPO and intends to list on Nasdaq Global Select as ANT; share count and price are not set. The SEC filing shows ~$11.6B Q2 2026 revenue, ~$16.3B H1 revenue through 2026-06-30, ~$974M Q2 GAAP operating income, ~$80,748 million H1 net loss (including fair-value items), and ~$482M H1 purchases of property and equipment. THE DECODER cites ~$780–810B compute commitments from its S-1 reading. Valuation chatter is not a company-set offer price.

On 2026-10-26 Anthropic announced that Anthropic, PBC filed a Form S-1 with the U.S. SEC for a proposed IPO of Class A common stock and intends to list on the Nasdaq Global Select Market under the symbol “ANT.” Share count and price range are not yet determined. The post stresses the registration is not effective and is not an offer to sell; Goldman Sachs and Morgan Stanley are listed for prospectus requests. The EDGAR index confirms the same-day S-1 filing with primary document anthropicpbc-sx1.htm—an uncommon public IPO prospectus from a major AI lab.

From the captured S-1 text: the trading symbol is “ANT.” Tables show about $11.6 billion of revenue for the three months ended 2026-06-30 (also described as rising from about $376 million in Q1 2025) and about $16.3 billion for the six months ended the same date ($16,286 million in the statement). Q2 2026 GAAP operating income is about $974 million. Six-month net loss is about $80,748 million, including fair-value changes on convertible notes, derivatives, and SAFEs—not a pure operating-loss proxy. The cash-flow statement lists about $482 million of purchases of property and equipment in H1 2026. Aggregate dollar amounts for compute/infrastructure committed spend appear as blank placeholders in the HTML extract, so we do not invent a total from the S-1 scrape alone.

THE DECODER’s write-up calls Anthropic the first major AI lab to file an S-1 this way and restates the revenue jump and Q2 operating profit. It attributes roughly $780–810 billion of compute-capacity contracts with Broadcom, Google, Amazon, Microsoft, and others to its reading of the S-1, noting relatively fixed costs versus usage-variable revenue. Decoder also relays a Yahoo Finance expectation of roughly a $2 trillion valuation versus a recent private mark around $965 billion—those valuation figures are not Anthropic’s stated offer price. Readers should treat secondary summaries cautiously and prefer the full SEC filing.
